XGraphics Sites is not responsible for delays caused by the client's failure to meet their responsibilities.
All custom content, graphics, and materials created by the Provider remain the property of the Provider until all fees are paid in full. Upon full payment, intellectual property rights to the website design, written content, and branding assets shall transfer to the Client, excluding:
The website URL (domain name), which remains the sole property of the Provider at all times.
Stock images and licensed third-party content, which remain under their respective licences.
Unless otherwise agreed in writing, XGraphics Sites retains ownership of any underlying code, tools, or development methods used to create your website, which are licensed to you for use with your website.
Payment terms, including deposit requirements, milestone payments, and final payment, will be specified in the Project Agreement. Payments are typically required before work commences and at key stages of the project.
Failure to make payments according to the agreed schedule may result in suspension or termination of Services and potentially delay the completion of your project.
Project timelines are estimates provided in the Project Agreement and are contingent upon timely feedback, content provision, and approvals from the client. XGraphics Sites will make reasonable efforts to adhere to agreed timelines but cannot guarantee them due to the collaborative nature of the work and potential unforeseen circumstances.
Project completion is deemed to occur when the final website design and functionality as specified in the Project Agreement have been delivered and approved by the client, or when the website is launched live.
The Project Agreement will outline the number of revisions included in the scope of work. Additional revisions beyond the agreed scope may incur additional charges.
Client acceptance of deliverables at various stages (e.g., design concepts, development milestones) will be based on clear communication and feedback. Failure to provide feedback or approval within a specified timeframe (usually 3-5 business days unless otherwise agreed) may be deemed as acceptance of the deliverable.
Website hosting and ongoing maintenance services will be specified in the Project Agreement.
Either party may terminate a Project Agreement if the other party breaches any material term of these Terms or the Project Agreement and fails to remedy such breach within a reasonable timeframe (e.g., 10 business days) after receiving written notice.
Termination by the client for reasons other than a material breach by XGraphics Sites will be detailed in the Project Agreement.
XGraphics Sites may terminate a Project Agreement immediately if the client engages in any unlawful behaviour, breaches intellectual property rights, or fails to make payments as agreed.
The Services are provided on an "as is" and "as available" basis. XGraphics Sites makes no warranties, expressed or implied, regarding the Services or the website created, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
XGraphics Sites is not responsible for any issues arising from third-party plugins, services, or hosting providers.
To the maximum extent permitted by law, XGraphics Sites shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or in connection with these Terms or the Services, even if advised of the possibility of such damages.
In no event shall XGraphics Sites' total liability to you for all damages, losses, and causes of action exceed the total amount paid by you to XGraphics Sites for the specific Services giving rise to the claim.
You agree to indemnify, defend, and hold harmless XGraphics Sites, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or in connection with:
